Terms and Conditions

I’ll always do my best to fulfill your needs and meet your expectations, but it’s important to have things written down so that we both know what’s what, who should do what and when, and what will happen if something goes wrong. By paying your first invoice you agree with these terms of business and standards.

What do both parties agree to do?

You: You have the authority to enter into this project on behalf of yourself, your company or your organization. You’ll give me everything needed to complete the project as and when and in the format needed. You’ll review the work, provide feedback and approval in a timely manner too. Deadlines work two ways, so you’ll also be bound by dates we set together. You also agree to stick to the previously set payment schedule.

I have the experience and ability to do everything we’ve agreed with you and I’ll do it all in a professional and timely manner. I’ll endeavor to meet every deadline that’s set and on top of that, and maintain the confidentiality of everything you’ve given me.

Hosting support

Your website will be hosted and maintained by my hosting partner on a  private server. This will require a separate agreement. If at any time you wish to leave the server you’ll pay a fee to transfer the site to your desired new server.

Hacking support

What if your website gets been hacked. In this crazy world, there are people out there hacking away at websites, every minute of every day. Your monthly hosting charge doesn’t cover this special recovery service. And because we act fast to minimize the damages we start action right away. We have detection software that can search and find the hack, then we rebuild the site. Yes, there is a fee of $200 if you get hacked. But your site will be recovered and things go back to normal. It sucks to get hacked, we can fix it.

Legal stuff

We can’t guarantee that our work will be error-free and so we can’t be liable to you or any third-party for damages, including lost profits, lost savings or other incidental, consequential or special damages, even if you’ve advised me of them. Finally, if any of these provisions shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from and shall not affect the validity and enforceability of any remaining provisions.

Payments

We’re sure you understand how important it is as a small business that you pay the invoices that are sent to you promptly. As I’m also sure you’ll want to stay friends, you agree to stick tight to the payment schedule.

Confidentiality

No warranty. MichelleBalaunLLC acknowledges and agrees that the Confidential Information on an as is basis. You, the Client makes no warranties, express or implied with respect to the confidential information and hereby expressly disclaims any and all implied warranties. (if you need an english translation, so do we, my lawyer made me put this in)

 Acknowledgement

By paying your first invoice you agree to the terms of business and standards stated above. Failure to abide (the dude always abides) will put you in a very bad karmic state. Remember what comes around goes around and by not fulfilling your payment responsibilities for the work done I’ll either take legal action, cancel your project, turn off your site or all of the above. We don’t want to do this but if you don’t play nice we’ll have to take some kind of action. So please be aware and be mindful. Thanks.
